1. Agreement to these terms
These Terms of Service (“Terms”) govern your access to and use of Ops Navigator and the website at opsnavigator.app (together, the “Service”). Ops Navigator is a product of Caprics Technologies Pvt Ltd (“Caprics”, “we”, “us”, “our”), a private limited company based in India, with its office at No 51, 11th Street, Venkateswara Colony, Industrial Estate, Nehru Nagar, Kottivakkam, Chennai, Tamil Nadu 600041, India.
By creating a workspace, accepting an invitation or otherwise using the Service, you agree to these Terms and acknowledge our Privacy Policy. If you use the Service on behalf of an organisation, you confirm that you are authorised to accept these Terms for it, and “you” and “Customer” mean that organisation.
If your organisation has signed an order form or other written agreement with us for the Service, that agreement takes precedence where it conflicts with these Terms.
2. Eligibility and business use
The Service is intended for business and professional use by organisations and their staff. You must be at least 18 years old and able to enter into a binding contract to use it. You may not use the Service if you are barred from doing so under applicable law.
3. The Service
Ops Navigator is a process and knowledge platform. It helps teams turn documents and recorded workflows into structured SOPs, assemble guided journeys, publish doc sites, and use an in-app copilot and digital adoption layer. We may improve, change or discontinue features over time. If we discontinue a feature you have paid for, we will tell you in advance where reasonably possible.
4. Accounts and workspaces
- You must give accurate information when you sign up and keep it up to date.
- You are responsible for keeping sign-in credentials confidential and for all activity under your account.
- Workspace administrators control who is invited, what roles they hold and what they can access, and are responsible for the users they invite.
- Tell us promptly at hello@caprics.tech if you suspect unauthorised access to your account.
5. Your content
You and your organisation keep all ownership rights in the content you put into the Service, including documents, SOPs, journeys, captures and doc site pages (“Customer Content”). We do not claim ownership of Customer Content.
You grant Caprics a non-exclusive, worldwide, royalty-free licence, for the duration of your use of the Service, to host, copy, process, transmit and display Customer Content only as needed to operate, provide, secure and support the Service for you, including through our service providers. When you publish a doc site, you also authorise us to display that content to the audience you choose.
You are responsible for your Customer Content and for having all rights and permissions needed to use it in the Service.
6. Personal data
For personal data in Customer Content, you are the data fiduciary and we act as your data processor, processing it only to provide the Service and in line with these Terms and our Privacy Policy. You are responsible for having a lawful basis, and for giving any notices and obtaining any consents required under the Digital Personal Data Protection Act, 2023 and other applicable law, before putting personal data into the Service.
7. Acceptable use
You agree not to, and not to allow anyone else to:
- Upload content that you do not have the right to use, or that is unlawful, harmful, defamatory, obscene or infringes anyone’s rights.
- Use the Service to record or process personal data without a lawful basis or the notices and consents required by law, or to process children’s data without the consent and safeguards the law requires.
- Upload malware, or attempt to break, probe, overload or disrupt the Service, or bypass its security, usage limits or access controls.
- Copy, reverse engineer or decompile the Service, or use it to build a competing product, except where the law expressly allows.
- Resell, sublicense or provide the Service to third parties except as we agree in writing.
- Use the Service, including AutoPlay, to carry out actions in third-party applications that you are not authorised to perform.
8. AI features
AI features, such as structuring documents into SOPs, copilot answers and AutoPlay, generate output automatically and can be wrong, incomplete or out of date. Review AI output before you rely on it, act on it or publish it. AutoPlay is off by default, shows its plan first and asks for confirmation on destructive steps; you remain responsible for the actions you approve. How AI features process your content is described in our Privacy Policy.
9. Free and paid plans
Some parts of the Service may be offered free of charge, subject to usage limits that we may change from time to time. Paid plans, when offered, are subject to the fees, usage limits (including AI credits), billing period and payment terms set out in your order form or in the in-app pricing shown to you before you buy.
- Fees are payable in advance for each billing period unless your order form says otherwise, and are exclusive of applicable taxes such as GST, which will be added where required.
- Fees are non-refundable, except where required by law or stated in your order form.
- We may change our prices for future billing periods by giving you reasonable notice before the change takes effect.
- If fees are not paid when due, we may suspend paid features after giving you notice.
10. Prototype and beta features
We may offer features marked as prototype, preview, beta or early access. These are provided for evaluation, may change or be withdrawn at any time, may not be as reliable as other features, and are excluded from any service commitments in an order form.
11. Availability and support
We work to keep the Service available and to fix problems promptly, but the Service is provided on an “as is” and “as available” basis. It may sometimes be unavailable because of maintenance, updates or events outside our control. Unless an order form sets out service levels or support terms, we do not guarantee any particular availability or response time. Support requests can be sent to hello@caprics.tech.
12. Suspension and termination
You may stop using the Service and close your account at any time. Closing a paid plan stops renewal at the end of the current billing period, unless your order form says otherwise.
We may suspend or end your access if you materially breach these Terms and do not fix the breach after notice, if you do not pay fees when due, if required by law, or immediately where needed to protect the Service, other users or third parties from harm. Where reasonable, we will give notice before suspending access.
Sections that by their nature should survive termination, including those on fees owed, confidentiality, intellectual property, disclaimers, limitation of liability, indemnity and governing law, will survive.
13. Data export on termination
Before you close your account, you can export Customer Content using any export options available in the Service, or ask us for an export. If your access ends for any reason other than a legal requirement or our need to prevent harm, we will make Customer Content available for export for a reasonable period on request. After that, we delete Customer Content as described in our Privacy Policy, except where a law requires us to keep it.
14. Confidentiality
Each party may receive non-public information from the other that is marked confidential or should reasonably be understood to be confidential, including Customer Content and details of the Service that are not public. The receiving party will protect it with at least reasonable care, use it only to perform under these Terms, and disclose it only to its personnel and service providers who need to know it and are bound by similar duties, or where a law requires disclosure. This does not apply to information that is or becomes public through no fault of the receiving party, or that it already knew or developed independently.
15. Our intellectual property
The Service, including its software, design, documentation and the Ops Navigator name and marks, belongs to Caprics and its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes. These Terms do not give you any other rights in the Service. If you send us feedback or suggestions, we may use them without any obligation to you.
16. Third-party services
The Service may link to or work with third-party products, such as the applications you guide users through. We are not responsible for third-party services, and your use of them is governed by their own terms.
17. Disclaimers
To the fullest extent permitted by law, the Service is provided “as is” and “as available”, and we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not promise that the Service will be uninterrupted, error-free or completely secure, or that AI output will be accurate.
18. Limitation of liability
To the fullest extent permitted by law, neither party will be liable to the other for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, business, goodwill or data, arising out of or relating to the Service or these Terms.
Caprics’ total liability arising out of or relating to the Service or these Terms is limited to the fees you paid us for the Service in the 12 months preceding the event giving rise to the claim, or, if you use only a free plan, INR 10,000.
These limits do not apply to your payment obligations, your indemnity obligations, or any liability that cannot be limited or excluded under applicable law.
19. Indemnity
You will indemnify and hold harmless Caprics and its directors, employees and service providers from any third-party claims, and the resulting losses, liabilities and reasonable costs (including legal fees), arising from your Customer Content, your breach of these Terms, or your use of the Service in breach of law.
20. Changes to these terms
We may update these Terms from time to time. We will change the “Last updated” date above and, for material changes, give notice through the Service or by email before they take effect. If you continue to use the Service after changes take effect, you accept them; if you do not agree, you may stop using the Service and close your account.
21. Governing law and jurisdiction
These Terms, and any dispute or claim arising out of or in connection with them or the Service, are governed by the laws of India. The courts at Chennai, Tamil Nadu have exclusive jurisdiction over any such dispute.
22. General
- Entire agreement. These Terms, the Privacy Policy and any order form are the entire agreement between you and Caprics about the Service.
- Assignment. You may not transfer your rights under these Terms without our written consent. We may transfer ours to an affiliate or a successor to our business.
- Events beyond control. Neither party is liable for delays or failures caused by events beyond its reasonable control, other than payment obligations.
- Severability and waiver. If any part of these Terms is unenforceable, the rest remains in effect. Not enforcing a term is not a waiver of it.
- Notices. We may send notices to the email address on your account or through the Service. You may send notices to us at the contact details below.
